This Terms of Service (“TOS”) sets forth the general terms and conditions governing the professional relationship between (“Socio Visible”) and the customer (“Client” or “Customer”) receiving services from Socio Visible. This TOS constitutes a legally binding agreement (“Agreement”) effective as of the date on which the Customer first engages or purchases services from Socio Visible. Any breach of this Agreement shall be considered a violation of contract and may result in suspension or termination of services.

By accessing the Socio Visible website, signing a service agreement, or purchasing services from Socio Visible, the Customer acknowledges having read, understood, and agreed to these Terms of Service in full.

1. Services

Socio Visible shall provide the purchased by the Customer in a professional manner, consistent with industry standards. The scope of each engagement will be defined in a written , which will outline project scope, timelines, deliverables, and payment terms. Services will commence only after the Customer has accepted the written agreement (electronically or physically) and completed the required payment.

Socio Visible reserves the right to assign any qualified employee, contractor, or authorized partner to deliver services, as deemed appropriate, to effectively fulfill the agreed scope of work.

 2. Customer Responsibilities

    1. Campaign and Project Oversight
      The strategies, campaigns, or projects executed by Socio Visible (such as Google Ads campaigns, PPC advertising, Facebook ads services, SEO projects, or website development) will be based on information and approvals provided by the Customer. The Customer is expected to review and approve deliverables in a timely manner to ensure smooth execution.
    2. Credential and Access Management
      While Socio Visible applies reasonable data security protocols, the Customer is responsible for managing and monitoring the credentials and access rights they share. This includes ad account logins, hosting details, analytics access, or third-party tool permissions. Clients are advised to use role-based access, limited timeframes, or restricted permissions wherever possible.
    3. Restricted Use
      The Customer must not use Socio Visible services for any unlawful, fraudulent, harmful, or unethical purposes. Prohibited uses include but are not limited to: deceptive advertising, distribution of prohibited content, phishing, impersonation, or violation of intellectual property rights.
    4. Copyright and Licensing Compliance
      If campaigns, creatives, or websites require the use of third-party content (such as stock images, licensed music, software, or premium plugins), it is the Customer’s responsibility to obtain the necessary rights or licenses. Socio Visible will not be held liable for copyright infringement resulting from the Customer’s failure to secure permissions.
    5. Use of Information and Materials
      The Customer may share brand assets, logos, business information, campaign data, files, or credentials necessary for the delivery of services. Socio Visible will use such materials only for the purpose of executing the agreed scope of work. Any confidential or sensitive data must be clearly marked, and Socio Visible agrees to maintain confidentiality in accordance with its internal protocols and applicable data protection laws.
    6. Legal and Regulatory Compliance
      Socio Visible executes campaigns and services based on instructions received from the Customer. It is the Customer’s responsibility to ensure that all data provided—including customer lists, leads, or third-party data—has been lawfully collected and that the necessary consents have been obtained in compliance with applicable data protection laws (such as GDPR, CCPA, or other regional regulations).

3. Term and Termination

    1. Termination by Customer

      Clients may cancel engagements at any time with written notice. For subscription-based services, 30 days’ advance notice is required. Refer to the Refund Policy for applicable conditions.

    2. Termination by Socio Visible

      Socio Visible may terminate services immediately if:

      • The Client engages in abusive, unethical, or unprofessional conduct.
      • The Client’s project violates applicable laws, ad platform policies, or ethical business practices.

4. Payment Terms

Payments must be made as per the terms outlined in the Work Order or Agreement. Delays beyond 5 business days may result in suspension of services, including holding back deliverables or pausing campaigns until dues are cleared.

5. Service Warranty

Socio Visible will make reasonable efforts to deliver services as outlined in the Work Order. However, due to third-party dependencies (e.g., Google, Facebook, hosting providers), Socio Visible provides services on a best-effort basis. No guarantees are made regarding performance metrics (such as impressions, clicks, or rankings) outside Socio Visible’s control.

6. Refund Policy

Refunds may be offered under the following conditions:

  • Services were not delivered as per the agreed scope.
  • The assigned team lacked the required skill set and replacement efforts failed.
  • Services were disrupted due to third-party platform restrictions beyond our control.

Refunds will not be provided if:

  • The engagement was a pilot or trial project.
  • Instructions were incomplete or delayed.
  • Feedback was not provided within 5 business days of delivery.
  • A rework or replacement was accepted.

For subscription plans, unused service hours are non-refundable. For plans exceeding 40 hours per month, up to 15% of unused hours may be rolled over upon renewal.

7. Intellectual Property

All deliverables (designs, campaigns, reports, websites, or creative assets) created specifically for the Client are considered “work for hire” and belong to the Client once payments are cleared.

Pre-existing tools, templates, plugins, or frameworks owned by Socio Visible remain Socio Visible’s property. The Client receives a limited, non-exclusive license to use them within the agreed project scope.

8. Non-Solicitation

The Client agrees not to directly or indirectly solicit, employ, or contract with any Socio Visible employee, contractor, or partner for two (2) years after project completion. Any breach of this clause will result in a penalty equal to the cost of resource replacement and damages.

Clients must communicate with assigned teams only via official Socio Visible channels and not bypass Socio Visible’s supervisory structure.

 9. Confidentiality and Non-Disclosure

    1. Definition– Confidential Information refers to business, technical, financial, or project data disclosed during the engagement that is not public and can reasonably be considered confidential.
    2. Exclusions– This does not apply to information that is public, independently developed, lawfully obtained, or disclosed due to legal requirements.
    3. Duration– Confidentiality obligations remain effective during the engagement and for five (5) years thereafter.
    4. Personal Data and Security– Socio Visible complies with data protection laws and will delete sensitive credentials (e.g., ad logins, hosting credentials) within ten (10) days of project closure, unless instructed otherwise by the Client.

10. Indemnification

The Customer agrees to indemnify and hold harmless Socio Visible, its employees, and affiliates from claims, liabilities, or damages arising from:

    • Breach of this Agreement.
    • Non-compliance with data protection or advertising laws.
    • Copyright infringements caused by Client-provided material.
    • Negligence or misconduct by the Client.

11. Limitation of Liability

Socio Visible is not liable for indirect, incidental, or consequential damages. In all cases, liability shall not exceed the fees paid by the Client in the three (3) months preceding the claim.

12. Publicity

Neither party shall use the other’s name, logo, or brand assets for promotional purposes without prior written consent.

13. Grievance Redressal

Socio Visible is committed to transparency and fair resolution of issues. If a Client believes their rights have been violated or services have not met agreed terms, they may raise a formal grievance.

Grievances should be submitted in writing with details, supporting evidence, and relevant dates.

Acknowledgment will be sent within 3 business days, and resolution will be targeted within 15 business days. If additional time is required, the Client will be informed.

14. General Terms

    1. Independent Contractor– Socio Visible operates as an independent contractor. This Agreement does not create a partnership or employment relationship.
    2. Force Majeure– Socio Visible is not liable for delays caused by events beyond its control, such as natural disasters, legal restrictions, cyberattacks, or third-party outages.
    3. Severability– If any provision of this Agreement is deemed unenforceable, the remaining provisions remain valid.
    4. Governing Law– This Agreement is governed by the laws of India. Disputes will fall under the jurisdiction of the courts in Noida, Uttar Pradesh.
    5. Dispute Resolution– Parties will attempt to resolve disputes amicably. If unresolved, mediation will be pursued, followed by binding arbitration under the Arbitration and Conciliation Act, 1996, in Noida, India.

15. Acknowledgement and Acceptance

This Agreement represents the entire understanding between the Client and Socio Visible and supersedes all prior communications. By using Socio Visible’s services, the Client acknowledges that they have read, understood, and accepted these Terms of Service.

16. Amendments and Notices

Socio Visible reserves the right to amend these Terms of Service at any time. Updates will take effect upon being posted on the official website. Notices regarding this Agreement may be sent via email to the Client’s registered email address or through official Socio Visible communication channels.
